TERMS OF SERVICE

1. PREAMBLE AND ACCEPTANCE OF TERMS

These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and usekairos ("Company," "we," "us," or "our"), governing your access to and use of the usekairos website, application, and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU DO NOT HAVE AUTHORITY TO ACCESS OR USE THE SERVICES.

2. GRANT OF RIGHTS AND USER GENERATED CONTENT

The Services allow Users to upload, submit, store, or send digital images, text prompts, and other data (collectively, "User Content").

2.1 Ownership of User Content

You retain all right, title, and interest in and to your User Content, including all intellectual property rights therein. Nothing in these Terms shall be construed as a transfer of ownership of your User Content to usekairos.

2.2 License Grant to usekairos

By uploading, submitting, or otherwise making available any User Content to the Services, you hereby grant to usekairos a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to:

  • (a) Host, reproduce, distribute, communicate, and publicly display the User Content in connection with the operation of the Services (including but not limited to the "Community Gallery");
  • (b) Use, process, and analyze the User Content using artificial intelligence, machine learning algorithms, and other technologies for the purpose of generating aesthetic analyses, product recommendations, and improving the Services;
  • (c) Create derivative works based on the User Content, such as thumbnails, previews, or aesthetic summaries; and
  • (d) Use the User Content for marketing, promotional, and demonstration purposes related to the Services.

2.3 User Representations and Warranties

You expressly represent and warrant that:

  • (a) You are the sole and exclusive owner of all User Content or you have all necessary rights, licenses, consents, and releases to grant to usekairos the rights in such User Content as contemplated under these Terms; and
  • (b) Neither the User Content, nor your submission, uploading, publishing, or otherwise making available of such User Content, nor usekairos's use of the User Content as permitted herein will infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

3. ACCEPTABLE USE AND PROHIBITED CONTENT

You agree not to use the Services to upload, post, transmit, or otherwise make available any content that:

  • (a) Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
  • (b) Depicts sexual acts, nudity, or sexually explicit material;
  • (c) Promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous;
  • (d) Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party; or
  • (e) Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

usekairos reserves the right, but has no obligation, to monitor User Content and to remove any content that violates these Terms at its sole discretion and without prior notice.

4. AI DISCLAIMERS AND LIMITATION OF RELIANCE

4.1 Nature of AI Technology

You acknowledge and agree that the Services utilize artificial intelligence ("AI") and machine learning technologies to generate analyses and recommendations. You understand that AI systems are probabilistic and may produce output that is inaccurate, incorrect, offensive, or otherwise flawed (commonly referred to as "hallucinations").

4.2 No Guarantee of Accuracy

usekairos makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated analysis, vibe decoding, or product recommendations. The Services are provided for entertainment and informational purposes only.

4.3 No Professional Advice

The content provided through the Services, including but not limited to recommendations for games, literature, consumer electronics, or interior design products, does not constitute professional advice. You should not rely on the Services as a substitute for professional advice or your own independent judgment.

5. THIRD-PARTY SERVICES AND AFFILIATE DISCLOSURE

5.1 Affiliate Relationships

usekairos participates in various affiliate marketing programs, including but not limited to the Amazon Services LLC Associates Program. This means that usekairos may earn a commission on purchases made through links to third-party retailer websites provided on the Services.

5.2 Third-Party Products and Links

The Services may contain links to third-party websites, services, or products ("Third-Party Services") that are not owned or controlled by usekairos.

  • (a) No Endorsement: The inclusion of any link does not imply endorsement by usekairos of the site or any association with its operators.
  • (b) Release of Liability: usekairos has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Services. You acknowledge and agree that usekairos shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such Third-Party Services.
  • (c) Product Disputes: Any transaction or dispute regarding products purchased via affiliate links is solely between you and the third-party merchant. usekairos is not a party to such transactions.

6. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

USEKAIROS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. USEKAIROS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL USEKAIROS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  • (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  • (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR
  • (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless usekairos and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • (a) Your use and access of the Services;
  • (b) A violation of these Terms; or
  • (c) Any claim that your User Content caused damage to a third party or infringed upon any intellectual property right of a third party.

9. MODIFICATIONS TO TERMS

usekairos reserves the right, at its sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
